    1. Summary

    1.1 The “What’s your story” competition (the “Competition”) is organised by GivingBack Films (“GBF”).

    1.2 The Competition is open nationally to any social enterprise registered in the UK and which is certified by SEUK. Each participating social enterprise may be required to confirm its SEUK membership number to GBF.

    2. How to enter

    2.1 The Competition will run from 10.00 am on 2 December 2021 (the "Opening Date") to 11.59 pm on 24 December 2021 (the "Closing Date") inclusive.

    2.2 All Competition entries must be received by GBF through its website by the Closing Date. All Competition entries received after the Closing Date are automatically disqualified.

    2.3 To enter the Competition, complete and submit the online Competition entry form provided on GBF’s website (www.givingbackfilms.com/myfilm) by the Closing Date.

    2.4 GBF will not accept:

    (a) responsibility for Competition entries that are not received by GBF by the Closing Date, regardless of cause, including, for example, as a result of any equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind and regardless of responsibility for the cause; or

    (b) proof of transmission as proof of receipt of entry to the Competition.

    2.5 By submitting a Competition entry, you are agreeing to be bound by these terms and conditions.

    2.6 For help with Competition entries, please email info@givingbackfilms.com

    2.7 The Competition entries will be judged by a panel of at least twenty adjudicators appointed by GBF to identify the Competition entry that contains the most powerful story about the entrant social enterprise.

    2.8 The strength of the entrant social enterprise’s story will be assessed based on the social impact achieved by the social enterprise including for example, impact on the community, the planet, an entire species or a single person affected by their work. The decision of the panel of adjudicators (acting reasonably) will be final.

    2.9 GBF will send the full names of the adjudicators to anyone who sends an email to myfilm@givingbackfilms.com within one month after the Closing Date requesting details of the adjudicators.

    3. Competition entries

    3.1 In entering the Competition, you confirm that your Competition entry:

    (a) is your original work;

    (b) is factually accurate; and

    (c) does not infringe any intellectual property rights of any third party.

    3.2 By submitting a Competition entry, you agree to hold harmless and indemnify GBF against any and all claims and actions from third parties for the infringement of any intellectual property rights arising from the Competition entry.

    3.3 There is a limit of one entry to the Competition per social enterprise.

    3.4 GBF reserves all rights to disqualify you if your Competition entry is incomplete or if your conduct is contrary to the spirit or intention of the Competition.

    3.5 Competition entries cannot be withdrawn or returned once submitted.

    4. The Prize

    4.1 GBF will script, produce, film and edit a film, up to 10 minutes in length about the social enterprise with the winning Competition entry (the “Winner”) and the social enterprise work that the Winner undertakes (the “Film”). The budget for the Film will be up to GBP 25,000 but the Film will made available to the Winner free of charge (the “Prize”). Filming will take place over a period of 2 to 4 days depending on the location and complexity of filming.

    4.2 The Film will be made available to the Winner to use on their website and on social media platform free of charge in accordance with condition 10.4 below.

    4.3 There is one Prize is available to be won.

    4.4 The Prize is not negotiable or transferable.

    4.5 There is no cash alternative for the Prize.

    4.6 The adjudicators nominated by GBF will shortlist the top 6 entrants (the “Finalists”) and the names of the Finalists will be published GBF’s website (www.givingbackfilms.com/myfilm) on 31 December 2021 (the “Shortlist Date”).

    4.7 The adjudicators nominated by GBF will determine one winning Competition entry from the Finalists and the Winner will be announced on 20 January 2022 (the “Announcement Date”). The Winner will be contacted by GBF and the name of the Winner will be published on GBF’s website (www.givingbackfilms.com/myfilm).

    5. The filming process

    5.1 The Film will be scripted, produced, filmed and edited and edited in accordance with these Terms and Conditions.

    5.2 Subject to condition 5.3 below, GBF will retain all creative control over the Film.

    5.3 Within 30 days from the Announcement Date, GBF will contact the Winner to discuss the winning Competition entry and to learn more about their social enterprise. As part of this pre-scripting process, GBF will compile and present a narrative for the Film to the Winner for approval. If the Winner approves the narrative, GBF will proceed to prepare a script for the Film prior to the commencement of filming and the Winner will be entitled to review and suggest amendments to the script of the Film. If the Winner rejects the narrative prepared by GBF, GBF reserves the right to withdraw the Prize from the Winner and to present the Prize to the first runner-up in the Competition instead. In such a scenario, the terms and conditions which apply to the Winner will be applicable to the first runner-up.

    5.4 Once the script has been approved by the Winner and filming has commenced, GBF will be solely responsible for the creative direction of the Film.

    5.5 The entire Film production is to be completed within 12 months from the Shortlist Date and GBFs’ assistance in respect of the production of the Film is limited to the 12 month period beginning on the Shortlist Date and ending on 31 December 2022. Thereafter, GBF may continue to assist the Winner with the production and dissemination of the Film, but is not required to do so.

    5.6 The Winner shall collaborate with GBF to produce the Film and GBF reserves the right to withdraw the Prize from the Winner if the Winner does not provide GBF with reasonable cooperation to allow the entire Film production to be completed within 12 months from the Shortlist Date. GBF may still publish or disseminate the Film in accordance with condition 10 below if the Prize is withdrawn from the Winner.

    6. Winners

    6.1 The decision of the adjudicators nominated by GBF is final.

    6.2 GBF will contact the winner directly as soon as practicable after the Announcement Date, using the telephone number or email address provided with the Competition entry.

    6.3 GBF must either publish or make available information that indicates that a valid award of the Prize took place. To comply with this obligation GBF will publish the names of the shortlisted social enterprise and the Winner and, if applicable, the winning Competition entries on the GBF website (https://www.givingbackfilms.com/myfilm) on the Shortlist Date and the Announcement Date respectively.

    6.4 If you object to any or all of your surname, county and winning Competition entry being published or made available, please contact GBF at myfilm@givingbackfilms.com. In such circumstances, GBF must still provide the information and winning Competition entry to the Advertising Standards Authority on request.

    7. Claiming the Prize

    7.1 The Prize may not be claimed by a third party on behalf of the Winner.

    7.2 GBF will make all reasonable efforts to contact the Winner. If the Winner cannot be contacted or is not available, or has not claimed their Prize within one month of the Announcement Date, GBF reserves the right to offer the Prize to the next best eligible entrant.

    7.3 GBF does not accept any responsibility if you are not able to take up the Prize.

    8. Limitation of liability

    Insofar as is permitted by law, GBF, its agents or distributors will not in any circumstances be responsible or liable to compensate the Winner or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the Prize except where it is caused by the negligence of GBF, its agents or distributors or that of their employees. Your statutory rights are not affected.

    9. Ownership of Competition entries and intellectual property rights

    9.1 All Competition entries submitted to GBF will become the property of GBF on receipt and will not be returned.

    9.2 By submitting your Competition entry, you agree that:

    (a) all right, title and interest to your Competition entry shall be automatically assigned by you to GBF absolutely and irrevocably with full title guarantee; and

    (b) you waive all moral rights in and to the Competition entry, and any rights otherwise arising in connection with your Competition entry to which you may now or at any time in the future be entitled under any common law right or intellectual property legislation (including but not limited to the Copyright, Designs and Patents Act 1988) as amended from time to time and in force anywhere in the world.

    9.3 You agree that GBF may, but is not required to, make your Competition entry available on its website (https://www.givingbackfilms.com) and any other media, whether now known or invented in the future, and in connection with any publicity of the Competition. You agree to grant GBF an exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the Competition entry, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the Competition entry for such purposes.

    10. Ownership of the Film and intellectual property rights

    10.1 The Film and any collateral footage accumulated in the filming process (“Collateral Footage”) will be the property of GBF subject to the non-exclusive licence to be granted to the Winner in accordance with condition 10.4 below.

    10.2 By accepting the Prize, you agree that:

    (a) all right (including any intellectual property right), title and interest in relation to the Film and the Collateral Footage shall be automatically assigned by you to GBF absolutely and irrevocably with full title guarantee; and

    (b) you waive all moral rights in and to the Film and Collateral Footage to which you may now or at any time in the future be entitled under any common law right or intellectual property legislation (including but not limited to the Copyright, Designs and Patents Act 1988) as amended from time to time and in force anywhere in the world.

    You agree to execute any document required to give effect to this condition (condition 10.2).

    10.3 You agree that GBF may, but is not required to, make the Film and Collateral Footage (whether in whole or in part) available on its website (https://www.givingbackfilms.com) and any other media, whether now known or invented in the future. GBF may, but is not required to, disseminate the Film and Collateral Footage (whether in whole or in part) to broadcaster(s), streaming channel(s) and film festival(s).

    10.4 GBF grants the Winner a non-exclusive licence to reproduce the Film (including a non-exclusive licence to the intellectual property rights owned or licensed to GBF in the Film), whether in whole or in part, on the Winner’s website or other social media platform provided that the following credit is included together with the Film or extract of the Film: “Produced by GivingBack Films”.

    10.5 The Film is not intended to be a commercial film but any revenues derived from the dissemination of the Film and the Collateral Footage will be payable to the GBF and will be used to fund future prize competitions.

    11. Data protection and publicity

    11.1 GBF will act in accordance with current UK data protection legislation in relation to your personal data. See also condition 6.3 and condition 6.4, with regard to the announcement of winners.

    12. General

    12.1 References to an “entrant”, to the “Winner” or to “you” include references to the relevant social enterprise, its assigns, its transferees, its representatives, its principals, its agents, its officers, its directors and its employees,

    12.2 If there is any reason to believe that there has been a breach of these terms and conditions, GBF may, at its sole discretion, reserve the right to exclude you from participating in the Competition.

    12.3 GBF reserves the right to hold void, suspend, cancel, or amend the Competition where it becomes necessary to do so.

    12.4 These terms and conditions shall be governed by English law, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
